1. INTRODUCTION

Welcome to Noble ("Noble," "we," "us," or "our"). Noble is a financial education platform designed to help teens develop financial literacy and money management skills, with appropriate parent or guardian oversight.

These Terms of Service ("Terms") govern your access to and use of the Noble application, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. DEFINITIONS

"Account" means a Noble account established by a Parent User.

"Content" means text, graphics, images, music, software, audio, video, information or other materials.

"Parent User" means a parent or legal guardian who creates a Noble account and invites Teen Users.

"Teen User" means an individual between the ages of 13 and 17 who uses Noble with Parent User consent.

"User" refers to both Parent Users and Teen Users collectively.

3. ELIGIBILITY AND ACCOUNT CREATION

3.1 Parent Users

You must be at least 18 years old and a legal resident of the United States to create a Noble account as a Parent User. By creating an account, you represent and warrant that you have the legal authority to enter into these Terms and to invite Teen Users to the Service.

3.2 Teen Users

Teen Users must be between 13 and 17 years old and have obtained consent from a Parent User. Teen Users under 13 years of age are not permitted to use the Service.

3.3 Account Creation and Security

When you create an account, you must provide accurate, current, and complete information. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify Noble immediately of any unauthorized use of your account.

4. DESCRIPTION OF SERVICE

4.1 Financial Education Platform

Noble is a read-only financial education platform that connects to users' existing bank accounts to help track spending, set savings goals, and learn financial concepts. Noble does not directly process financial transactions, store payment card information, or allow money transfers.

4.2 No Financial Advice

The information provided through Noble is for educational purposes only and is not intended as financial, investment, tax, or legal advice. We encourage you to consult with qualified professionals for advice concerning specific financial, investment, tax, or legal matters.

5. PARENTAL CONSENT AND SUPERVISION

5.1 Parental Consent

Parent Users must provide consent for Teen Users to access and use the Service. By inviting a Teen User, the Parent User affirms they are the parent or legal guardian of the Teen User or have the authority to consent on behalf of the parent or legal guardian.

5.2 Parental Supervision

Parent Users are responsible for supervising Teen Users' use of the Service. Noble provides tools to help Parent Users monitor certain aspects of Teen Users' financial activities, but ultimate responsibility for supervision rests with the Parent User.

6. DATA PRACTICES AND PRIVACY

6.1 Privacy Policy

Your privacy is important to us. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and disclose information about you.

6.2 Bank Connection

To use certain features of the Service, you will need to connect your existing bank account. Noble uses secure third-party services to establish this connection. Noble receives read-only access to transaction data and does not store your bank credentials.

6.3 Data Security

We implement reasonable security measures to protect your personal information. However, no method of transmission over the Internet or method of electronic storage is 100% secure, and we cannot guarantee absolute security.

7. USER CONDUCT AND PROHIBITED ACTIVITIES

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any laws
• Attempting to interfere with, compromise the security of, or disrupt the Service
• Accessing data not intended for you or logging into a server or account you are not authorized to access
• Attempting to probe, scan, or test the vulnerability of the Service or any associated system or network
• Impersonating another person or misrepresenting your affiliation with a person or entity
• Using the Service to engage in any form of harassment or offensive behavior
• Attempting to reverse engineer any portion of the Service
• Encouraging or enabling any other individual to do any of the foregoing

8. INTELLECTUAL PROPERTY

8.1 Noble Content

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Noble and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

8.2 Limited License

Subject to these Terms, Noble grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for personal, non-commercial purposes.

9. USER CONTENT

9.1 User Responsibility

You are solely responsible for any Content you post, upload, link to, or otherwise make available via the Service.

9.2 Content License

By making any Content available through the Service, you grant to Noble a non-exclusive, transferable, worldwide, royalty-free license to use, copy, modify, and display the Content in connection with operating and providing the Service.

10. THIRD-PARTY SERVICES AND CONTENT

10.1 Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by Noble. Noble has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

10.2 Financial Institution Data

Noble connects to financial institutions to retrieve transaction data. Your use of these connections is subject to the terms and conditions of your agreements with your financial institution.

11. TERMINATION

11.1 Termination by You

You may terminate your account at any time by following the instructions on the Service or by contacting us.

11.2 Termination by Noble

Noble may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach the Terms.

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NOBLE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NOBLE MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

13. LIMITATION OF LIABILITY

IN NO EVENT SHALL NOBLE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Noble and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (i) your use and access of the Service, (ii) your violation of any term of these Terms, or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

15. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

16. CHANGES TO TERMS

Noble reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

17. CHILDREN'S PRIVACY

The Service is intended for use by teens aged 13 and older with parent or guardian consent. We do not knowingly collect personally identifiable information from children under 13. If you are a parent or guardian and you learn that your child has provided us with personal information without your consent, please contact us. If we become aware that we have collected personal information from a child under age 13 without verification of parental consent, we will take steps to remove that information from our servers.
